1. This Auto-Deduct Agreement (the "Agreement") constitutes a contract between you (the "Client" and Your Yoga, LLC ("Your Yoga") a Minnesota Limited Liability Company.



2. The Client and Your Yoga hereby agree that, in exchange for unlimited access to all public yoga classes at all Your Yoga studios as commonly advertised on the Your Yoga website (www.youryogamn.com) and printed advertising materials (not including workshops, teacher trainings or other special programs) throughout the duration of the Agreement, the Client shall pay a monthly fee ("Membership Dues") as set forth in Schedule A below using www.dwolla.com to Your Yoga via its Dwolla account, #812-575-4816. The Client shall also submit backup credit or debit card information to Your Yoga via the secure online form maintained at http://www.youryogamn.com/#!secure-payment-information/cgao.



3. The Client agrees that, if Membership Dues are not submitted via Dwolla by the 15th of the month in which they are due, the outstanding balance plus a fee of $1 will be charged to the backup credit or debit card kept on file by Your Yoga in connection with this Agreement. If payment is rejected due to insufficient funds, access to yoga classes at Your Yoga may be denied. Upon termination of the Agreement by either party, Your Yoga will no longer be obliged to provide access to public yoga classes or other class offerings, and the Client will no longer be obliged to pay Membership Dues.



4. Effective Date. The Agreement is rendered effective upon the Client, having submitted an Auto-Deduct request via the Your Yoga website, receiving a confirmation email from Your Yoga. At this time, Your Yoga will charge the Client's credit or debit card for the Initial Payment at set forth in Schedule A below.

5. Cancellation Date. The Client may cancel the Agreement by notifying Your Yoga through written communication (including email) of his or her desire to terminate the Agreement. The Cancellation Date shall be the final day of the calendar month in which this written notification is submitted.

6. Cancellation Penalty. The Client may cancel the Agreement at any point after the end of the third full calendar month following the Effective Date without penalty. The Client may cancel the Agreement at any point prior to the end of the third full calendar month following the Effective Date upon payment of the Cancellation Penalty. The Cancellation Penalty shall be the difference between the total paid in Membership Dues as of the Cancellation Date and the equivalent amount that would have been paid had the Client paid the regular monthly rate advertised on the Your Yoga website under the name of "1 Month Unlimited" or "1 Month Unlimited (Student)" if the Client is eligible for the Discounted Rate throughout the entire period between the Effective Date and the Cancellation Date .



6. Discounted Rate Eligibility. Discounted Rate Eligibility is granted at the sole discretion of Your Yoga. Your Yoga will not reasonably withold the Discounted Rate from full-time students, teachers, faculty or nurses, and may by its discretion extend the Discounted Rate to other persons as it deems appropriate.



7. Your Yoga reserves the right to terminate the Agreement at any point for any reason, provided the Client is granted access to public yoga classes as stipulated in S.(2) above through the end of the calendar month for which payment has already been made or provided the Client is reimbursed for the remaining days in the calendar month.
